If an all-stock deal is dilutive, what does that imply about the number of shares issued?
- The total pro-forma share count is lower than the acquirer's standalone count before the deal closes.
- The acquirer is issuing no new shares at all in the transaction, so no dilution from an exchange ratio can occur.
- The number of shares issued is exactly equal to the target's total diluted shares outstanding immediately before closing.
- The acquirer is issuing a greater percentage of its shares than the percentage of net income the target adds.
