Controlling class in plain English
In a CMBS deal, investors are stacked in layers by who gets paid first and who eats losses first — the bottom layer takes the first hit if loans go bad, so those investors care the most about how troubled loans are handled. The controlling class is the lowest still-surviving layer, and because their money is most at risk, they're given the steering wheel: they get to oversee the 'special servicer' (the specialist who works out delinquent loans) and weigh in on decisions like whether to foreclose or renegotiate. It's like the person with the most skin in the game getting the final say on how to rescue a struggling investment.
