Workout

Corporate Credit Analysis glossary · Credit Agreements & Covenants

Definition

A non-court restructuring negotiated between the issuer and its creditors without filing for bankruptcy; faster and cheaper than Chapter 11 but lacks the automatic stay and binding-vote mechanisms, requiring near-unanimous creditor consent.

Workout in plain English

A workout is when a company that can't pay its debts sits down privately with its lenders and renegotiates — stretching out deadlines or trimming what's owed — WITHOUT going to bankruptcy court. It's faster and cheaper than a formal Chapter 11 filing, like roommates quietly agreeing to split an overdue rent bill instead of dragging each other to court. The catch: with no judge involved there's no automatic freeze on creditors chasing you, and no way to force a binding vote — so you need almost EVERY lender to agree, and a single holdout can wreck the whole deal.
