Cap Table in plain English
A cap table (short for capitalization table) is simply the ownership map of a company: a single list showing who owns what slice, and how big each slice is. It tracks the founders, the investors, employees with stock options, and anyone holding different classes of shares — so you can see, at a glance, that (say) the founders hold 40 percent, one investor 25 percent, and so on. Picture the guest list and seating chart for a pizza: it tells you exactly how many slices each person is entitled to. It matters because every time the company raises money or grants shares, those slices get recut, and the cap table is the honest record of who ends up owning how much.
