Operational Diligence
Private Equity glossary · Valuation, Diligence, & Value Creation
Definition
Diligence focused on production, supply chain, IT, HR, and other operating functions to identify value-creation opportunities.
Operational Diligence in plain English
Operational Diligence is the deep 'how does this place actually run?' inspection a buyer does before purchasing a company — looking past the financial statements into the factory floor, the supply chain, the computer systems, and how the staff is organized. The goal isn't just to spot problems, but to find fixable inefficiencies that could make the business more profitable after the deal. It's like having a mechanic and a home inspector crawl through a used car and house before you buy — not to scare you off, but to know exactly what you'd upgrade to make it worth more. Finding those hidden improvement opportunities is often where the buyer's future profit comes from.
