American vs European waterfall

These terms describe when a private fund’s general partner receives carried interest. An American (deal-by-deal) waterfall can pay carry on early winning deals before the whole fund is settled. A European (whole-fund) waterfall waits until invested capital and the preferred return are returned across the fund. European is usually more LP-friendly; American can accelerate GP economics on early hits. Do not confuse this with American versus European option exercise styles.
