Confidential Information Memorandum — the comprehensive sell-side marketing document distributed to qualified buyers after they execute a confidentiality agreement (CA / NDA). Contains the investment thesis, business description, industry overview, financial summary (historical + projected), management bios, and growth opportunities. The CIM is paired with a teaser (anonymous one-pager sent pre-CA) and a bid procedures letter.
