Non-Sponsored Lending

Private Credit glossary · Market, Sourcing & Sponsor Dynamics

Definition

Loans to family-owned, founder-led, or independent middle-market companies without PE sponsorship. Typically wider spreads and tighter covenants vs sponsor-backed deals.

Non-Sponsored Lending in plain English

When a private equity firm (a 'sponsor') buys a company, lenders love it: there's a deep-pocketed professional owner standing behind the deal. Non-sponsored lending is the opposite — lending directly to companies still run by their founder or family, with no PE firm backing them. Because there's no wealthy sponsor as a safety net and these owners are often less familiar to lenders, the lender charges a higher interest rate (a 'wider spread') and demands stricter rules in the contract (tighter 'covenants,' the promises a borrower must keep). Think of it like lending to a first-time borrower versus one who has a rich, experienced co-signer.
