Clawback

CFA Level I Glossary

A clawback lets limited partners reclaim carried interest previously paid to the general partner if later losses mean the GP was overpaid relative to the final waterfall. It protects LPs against early overpayment, especially under American deal-by-deal waterfalls. Clawback is a recovery of past carry, not the same as catch-up, which accelerates the GP toward its target profit share. Exam items often swap those two names.
