Convertible Bond in plain English
A convertible bond is a loan to a company that comes with a special escape hatch: instead of just getting your money back, you can choose to swap the loan into a set number of the company's shares. It's like lending a friend $1,000 for their food truck, but with the option to turn that loan into part-ownership if the truck takes off. Because that option to grab the upside is valuable to you, you accept a lower interest rate (a smaller yearly payment, called the coupon) than a plain loan would pay. So the investor trades some guaranteed income for a shot at stock-like gains, and the company gets to borrow more cheaply.
